1. Introduction; Agreement To This Terms Of Use

Please read Candy Chat's (" Candy Chat ", " We ", " Our ") Terms of Use carefully, which include and incorporate Candy Chat's Privacy Policy and the Virtual Goods and Currency Terms of Use (collectively, the " Terms "). Candy Chat provides a service that allows Candy Chat Account holders to register unique personal profiles and communicate with other members based on location. These Terms govern and apply to your access and use of Candy Chat's social networking services available via Candy Chat's mobile apps (collectively, the "Apps"). To make these Terms easier to read, the Sites, our services and the Apps are collectively called the "Services."

BY ACCESSING, DOWNLOADING, USING, PURCHASING, PAYING TO USE AND/OR SUBSCRIBING TO THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY, THESE TERMS, AS THEY MAY BE AMENDED FROM TIME TO TIME. IF YOU DO NOT AGREE WITH THESE TERMS IN THEIR ENTIRETY, YOU MAY NOT USE THE SERVICES.

Please also note that if you subscribe to the Services, your subscription will automatically renew for certain periods of time if you do not cancel prior to the end of the term.

2. Eligibility

You must be at least 18 years of age to create an account on Candy Chat and use the Service. By creating an account and using the Service, you represent and warrant that:

• You can form a binding contract with Candy Chat.
• You are not a person who is barred from using the Service under the laws of the United States or any other applicable jurisdiction.
• You will comply with this Agreement and all applicable local, state, national and international laws, rules and regulations.
• You have never been convicted of or pled no contest to a felony, a sex crime, or any crime involving violence, and that you are not required to register as a sex offender with any state, federal or local sex offender registry.

3. Use Of The Services

You agree that you will only use the Services, including the posting of any content through the Services, in a manner consistent with these Terms and compliant with any and all applicable local, provincial, federal and international laws and regulations.

You will not engage in any advertising or solicitation to buy or sell any products or services through the use of the Services. You will not use the Services for any phishing, trolling, or similar activities, and will not use scripts, bots, or other automated technology to scrape or access the Services.

Candy Chat is not responsible or liable in any manner for the conduct of its Users. You acknowledge that you use the Services entirely at your own risk. You agree to treat all other Users with dignity and respect and comply with these Terms.

4. User Content

You are solely responsible for the content and information that you provide, publish, transmit, display or otherwise communicate to Candy Chat through the Services or to other Users (collectively referred to as " post "), including without limitation, messages, data, text, photos, video, music, graphics, links or other materials.

• You will not post any inaccurate, misleading, incomplete or false information or User Content to the Services or to any other User through the Services.
• Although Candy Chat has no duty to prescreen, review, control, monitor or edit User Content, Candy Chat may, at its sole discretion, review, edit, refuse to accept or delete User Content at any time and for any reason.
• You are solely responsible for creating backup copies and replacing any User Content that you post or store on the Services.

5. License of User Content to Candy Chat

Candy Chat claims no ownership or control over your User Content, except as otherwise specifically provided herein. By submitting or posting User Content, you automatically grant to Candy Chat, its affiliates, licensees and successors, an irrevocable, perpetual, non-exclusive, fully paid, worldwide right and license to use, copy, publicly perform, publicly display, reproduce, adapt, modify and distribute such User Content.

You represent and warrant that the User Content and the public posting and use of your User Content by Candy Chat will not infringe or violate any third-party rights, including without limitation, any intellectual property rights or rights of privacy or publicity, or cause any harm to any third party or violate these Terms.

6. Use of Proprietary Information of Others

You will not post, copy, transfer, create any derivative works from, distribute, reproduce or show in any manner any copyrighted or trade-marked or other proprietary information or materials, including any User Content posted by other Users, without the prior consent of the owner of such proprietary rights.

7. Communications

We may provide notices to you via email at the address you provided when you created your Candy Chat Account, or by posting the notice in the relevant area of the Services. It is your responsibility to periodically review the Services for notices.

If you send to Candy Chat or post on the Services any information, ideas, inventions, concepts, techniques or know-how, you acknowledge that Candy Chat can use such User Submissions without acknowledgement or compensation to you.

8. Objectionable or Prohibited Content

Candy Chat has no tolerance for objectionable or prohibited content. You are not allowed to post, transmit or deliver to any other User, either directly or indirectly, any User Content that violates any third-party rights or any applicable law, rule or regulation, or is prohibited under these Terms. Prohibited Content includes without limitation User Content that:

• Is obscene, pornographic, profane, defamatory, abusive, offensive, or illegal.
• Promotes racism, sexism, homophobia, bigotry, hatred or physical harm of any kind.
• Is intended to harass or intimidate any other User or third party.
• May infringe or violate any patent, trade-mark, trade secret, copyright or other intellectual or proprietary right of any party.
• Contains video, audio, photographs, or images of another person without their express written consent.
• Promotes or enables illegal or unlawful activities.
• Contains viruses, time bombs, malware, trojan horses, worms or other harmful codes or devices.
• Contains any advertising, fundraising or promotional content without authorization.

9. Social Networking & Privacy

When you have enabled the use of our Services through a third-party social networking site, you permit Candy Chat to access information about you that is made available through that Social Networking Site.

Candy Chat takes the protection of your personal information seriously. Please refer to our Privacy Policy for information about how Candy Chat collects, uses, stores and discloses personal information from its Users.

10. Intellectual Property Rights & Limited License

Other than your User Content, the Services and all materials therein, including without limitation, software, images, text, graphics, designs, illustrations, Candy Chat logos, patents, trade-marks, service marks, copyrights, photographs, audio, videos, music, information, data, and other files, are the exclusive property of Candy Chat and its licensors.

You are granted a limited, non-sublicensable license to access and use the Services and Proprietary Materials, subject to these Terms. You agree that you will not copy, modify, publish, adapt, sublicense, translate, sell, distribute, transmit, perform, display, reverse engineer, decompile, or otherwise disassemble any portion of the Proprietary Materials or the Services.

11. Third Party Content & Links

Candy Chat may provide third party content on the Services and may provide links to web pages, applications, mobile apps, sites and content of third parties as a service to those interested in this information. Candy Chat does not control, endorse or adopt any Third Party Content and expressly disclaims any and all representations, warranties or conditions of any kind regarding the Third Party Content.

If you decide to access a third-party site or application, you assume all risk related to such access and use. Any personal information collected through your use of such sites or apps shall be governed by the privacy policy of those third parties.

12. Paid Services, Virtual Goods & Subscriptions

Candy Chat makes available several paid Services, including Virtual Products (" Candy Chat Coins ") and subscriber-level access that unlocks premium features (a " Subscription "). Subject to any applicable additional terms and conditions, all purchases are final and non-refundable.

• Virtual items and digital benefits have no cash value unless required by applicable law.
• Candy Chat may change, modify, or eliminate Virtual Products at any time, with or without notice.
• If we suspend or terminate your account, you will lose any Products you purchased through the Services.
• Subscriptions will automatically renew at the end of each term unless cancelled through the applicable App Store prior to the renewal date.

13. Disclaimers & Limitation of Liability

Candy Chat PROVIDES THE SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, Candy Chat EXPRESSLY DISCLAIMS ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR ARISING FROM STATUTE OR OTHERWISE.

To the maximum extent permitted by law, Candy Chat is not responsible for losses arising from third-party services, user-generated content, user interactions, unauthorized access caused by your own failure to safeguard credentials, or events outside our reasonable control.

Nothing in these terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

14. Applicable Law; Jurisdiction & Dispute Resolution

The Services are controlled by Candy Chat and operated from its offices in Hong Kong. All disputes, claims or other matters arising from or relating to your use of the Services will be governed by the laws of Hong Kong, excluding the application of any conflicts of laws rules.

Except where prohibited by applicable law, any claim, dispute or controversy will be referred to and determined by a sole arbitrator pursuant to the applicable arbitration rules. You hereby waive any right to commence or participate in any class action against Candy Chat related to any Claim.

15. Termination

Candy Chat may suspend, remove, deactivate, terminate or block your Candy Chat Account and your right to use the Services at any time in our sole discretion, for any reason, without explanation and without notice.

You may deactivate your Candy Chat Account at any time by accessing "Settings" and selecting deactivate account, or by emailing our customer support team. After deactivation, if you do not reactivate within sixty (60) days, your account will be permanently terminated.

16. Community Rules

During your use of Candy Chat, please use our app in a civilized manner. The following types of content are not tolerated:

• Offensive language
• Pornographic content
• Nudity
• Violence or bloodiness
• Screenshots & screen recordings without consent
• Content involving underage individuals
• Harassment of any kind

If you are reported for the above behavior on Candy Chat, your account will be banned immediately. If you find others engaging in such behaviors, you can report them to us.

17. Updates, Miscellaneous & Contact

We reserve the right, in our sole discretion, to change, modify, add, or remove portions of any of the terms and conditions contained in these Terms at any time. Unless otherwise specified, any changes or modifications will be effective immediately upon posting of the revisions on the Services.

The language of these Terms is English. The English language version of these Terms will govern your relationship with Candy Chat.

These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Candy Chat without restriction.
